gnice Terms of Service
These Terms of Service ("Terms") govern the use of the gnice platform and the products provided through it, including Querian (together the "Service"). The Service is provided by J Resources AB, company registration number 559133-6721, Sweden ("we", "us").
These Terms, together with the gnice Data Processing Agreement ("DPA") and any order or other terms expressly agreed between us and the Customer, form the agreement between us and the organization using the Service (the "Customer").
An administrator accepts this agreement on behalf of the Customer when creating or ordering a Service instance or when otherwise presented with the agreement for acceptance. By accepting, the administrator confirms that they are authorized to bind the Customer.
The Service is offered to businesses only. It is not intended for consumers.
1. The Service
gnice is a platform for running managed instances of products such as Querian, a database and toolset for geological exploration data. We host and operate each instance, apply updates and take backups.
The Service is offered as early access. Features may change, be added or be removed. We provide the Service on a best-effort basis, without a guaranteed level of availability, response time or support unless otherwise agreed in writing.
Updates are normally applied in the Customer's maintenance window. Urgent security or stability updates may be applied at other times.
2. Accounts and administrators
The Customer is responsible for its users, for keeping login credentials, passkeys and recovery keys safe, and for all activity under its accounts.
Organization administrators manage members and access and may accept agreements on behalf of the Customer where authorized to do so.
The Customer must tell us without undue delay if it suspects unauthorized access.
3. Customer Data
The Customer keeps all rights to the data it enters into or generates with the Service ("Customer Data").
We use Customer Data only to provide, secure, maintain and support the Service, and as described in the DPA.
The Service provides export functions. The Customer is responsible for keeping its own copies of Customer Data that is important to it, at intervals that suit its needs.
4. Backups
We take encrypted backups of each instance and of the platform, normally daily, and keep them for a limited period (currently 14 days).
Backups are a best-effort safeguard, not a guarantee. We do not guarantee that data can always be restored, or restored to a particular point in time or within a particular time.
We test from time to time that backups can be restored.
5. Results and data processing
The Service performs calculations, conversions, aggregations and suggestions, including AI-assisted features, on data provided by the Customer.
Results are provided "as is" as a working aid and do not constitute professional, geological, engineering or investment advice.
The Customer is solely responsible for verifying data and results before relying on them, and for all decisions and public reporting based on them, including reporting under JORC, NI 43-101 or similar codes.
Use of the Service and its results is at the Customer's own risk.
If the Customer notifies us of an error in the Service's processing, we will use reasonable efforts to correct it within a reasonable time. Such correction is the Customer's sole and exclusive remedy for errors in processing or results.
We are not responsible for errors caused by Customer Data, configuration, imports or third-party inputs such as laboratory files.
6. AI features
Some features use third-party AI models. They are optional and are only used when enabled for an instance.
AI output can be incomplete or wrong and must be reviewed by the Customer.
When AI features are used, content sent to the AI provider is processed by the provider identified in the Service's AI settings and in accordance with the DPA.
7. How the Service is built
The Service is developed by a small team with extensive use of AI coding assistants, under the direction and testing of J Resources AB.
The Service is protected by automated testing, access controls and other security measures.
The Service uses open-source components under their respective licenses.
8. Fees and credits
Use of the Service is measured in gnice credits. Prices, included amounts and the credit cost of an instance are shown in the Service or agreed separately.
During early access, credits are provided against invoices issued by us. Invoices are payable within 30 days and are subject to VAT where applicable.
For EU business customers outside Sweden, VAT will normally be handled under the reverse-charge mechanism where legally applicable.
Credits are not refundable and have no cash value.
We may change prices with at least 30 days' notice. Changes apply from the next billing period or other applicable future charging period.
9. Acceptable use
The Customer may not use the Service:
- to break the law or the rights of others;
- to store or distribute malicious code;
- to attempt to access other customers' data or instances;
- to probe, attack or overload the Service; or
- to resell the Service without our agreement.
The Customer is responsible for having the rights needed for the data it stores, including third-party files such as laboratory certificates and uploaded symbols or patterns.
We may suspend access, in whole or in part, where reasonably necessary to protect the Service, other customers or third parties, in case of a serious breach of these Terms, or in case of non-payment.
Where reasonably possible, we will warn the Customer before suspension.
10. Intellectual property
We keep all rights to the Service, the software and its documentation.
The Customer receives a non-exclusive, non-transferable right to access and use the Service during the term of the agreement in accordance with these Terms.
We may use feedback and suggestions about the Service without obligation.
11. Confidentiality
Each party must keep the other party's non-public information confidential and use it only for the purposes of this agreement.
This obligation does not apply to information that:
- is public through no breach of this agreement;
- was already lawfully known to the receiving party;
- is independently developed without use of the confidential information; or
- must be disclosed by law or binding authority.
12. Liability
Our total liability arising out of or in connection with the Service is limited to the fees paid by the Customer for the Service in the twelve (12) months before the event giving rise to the claim.
We are not liable for indirect or consequential loss, including loss of profit, revenue, business, goodwill or opportunity, or for loss or corruption of data beyond making reasonable efforts to restore the latest available backup.
These limitations do not apply to damage caused intentionally or through gross negligence, or where liability cannot be limited by law.
13. Force majeure
Neither party is liable for delays or failures caused by circumstances beyond its reasonable control, including outages or failures of underlying providers, attacks, labor disputes, public authority measures, fire, flood or power failure.
Underlying providers may include hosting, network, DNS, e-mail and other infrastructure providers.
14. Term and termination
The agreement runs until terminated.
Either party may terminate it with 30 days' notice to the end of a month unless otherwise agreed in writing.
After termination, the Customer may export its Customer Data for 30 days.
After that period, we delete the Customer's instances and Customer Data in accordance with the DPA, unless applicable law requires retention.
Backups containing Customer Data expire according to the applicable backup-retention cycle.
15. Changes to the agreement
We may update these Terms and the DPA from time to time, including to reflect changes to the Service, our suppliers, security measures, applicable law or our business practices.
We will notify the Customer's administrators by e-mail or through the Service at least 30 days before a material change takes effect, unless an earlier change is reasonably necessary to comply with law, address a security issue or prevent misuse of the Service.
Changes to sub-processors are handled in accordance with the notice and objection procedure in the DPA.
If the Customer continues to use the Service after the effective date of an updated agreement, the updated agreement applies.
If the Customer does not agree to a material change, it may terminate the affected Service before the change takes effect.
We may require the Customer to expressly accept an updated agreement before ordering a new instance, enabling a new feature or continuing to use the Service where we reasonably consider renewed acceptance appropriate.
If an updated agreement requires express acceptance and no administrator has accepted it by the time it takes effect:
- access to the Service for the Customer's users is suspended, including sign-in to product instances and direct database (VPN) access;
- administrators can still sign in to accept the updated agreement or to state that they do not accept it;
- the Customer's instances and Customer Data are kept unchanged, and an administrator may download a complete database export of the Customer's instances;
- as soon as an administrator accepts the updated agreement, access is restored.
If the updated agreement has still not been accepted 90 days after it took effect, the agreement ends and we delete the Customer's instances and Customer Data in accordance with the DPA. Backups containing Customer Data expire according to the applicable backup-retention cycle.
16. Agreement acceptance and records
The agreement is accepted electronically.
Where acceptance is required, the Service may record information showing which Customer organization accepted the agreement, which administrator accepted it, the applicable document versions, the acceptance timestamp and related technical evidence.
An organization that has already accepted the current agreement does not need to accept it again each time it creates another instance unless renewed acceptance is required under Section 15.
Creating or using additional Service instances remains subject to the agreement then in force.
17. Governing law and disputes
These Terms are governed by the laws of Sweden.
Disputes are resolved by the Swedish general courts, with Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
